DIEGATUS STUDIOS COMMISSIONS COMMISSIONS POLICY

I. TO CONSIDER

1. To clarify terms used in this policy, you should know that the following words refer to:

1.1 Commission: The overall work process from start to finish, including all phases described in chapter II, article 1.

1.2 Project: The final or ongoing work, such as illustration, video, etc.

1.3 Media and/or materials: Audiovisual resources that are part of a project, whether static or animated, whether complete or partial works.

1.4 Diegatus Studios: The general artistic brand that represents Diego Valero Arévalo, Diegatus.

1.5 Diegatus Studios Commissions: The specific part, which can be compared to a department or section of the Diegatus Studios artistic brand, dedicated and focused on carrying out projects commissioned by clients like you.

2. You will be able to follow the progress of your commission through personalized emails and/or messages that follow a phased scheme called your commission process, which you can find in detail in chapter II, article 1.

3. Orders are agreed through a contract called commission form between the client (you) and Diegatus Studios Commissions. The moment you receive the form and wish to continue with the order by replying to the message sent to you, you accept the policy described in this and the following chapters.

II. YOUR COMMISSION PROCESS

1. The execution of your commission follows a scheme called your commission process, which works in the following order:

1.1 Phase 1: Contact – This is the phase in which you, as the client, contact Diegatus Studios Commissions to request information about carrying out your commission. It includes the collection of your data so that we can contact you during the process and write down the details about your project. You can inquire how your data is treated in the privacy policy (diegatus.es/en/privacy-policy). All data is collected in your commission form (chapter I, article 3). This phase includes the exchange of messages via any means between you and Diegatus Studios, and the sending of your commission form.

1.2 Phase 2: First payment – To ensure that you agree with what is provided in the commission form (including this policy), you want to book your project and you want to proceed with it, you must make the first payment indicated in your commission form (chapter III, article 1). This phase is not notified and you are responsible for completing it.

1.3 Phase 3: Ordered! – When the payment is confirmed, the project will be placed in the Diegatus Studios Commissions queue to be fulfilled. You will receive a message notifying you of this phase.

1.4 Phase 4: Full speed ahead! – Your project has started to be made. You will receive a message notifying you of this phase.

1.5 From Phase 4: Full speed ahead! (chapter II, article 1.4), the process can move to Phase 5: Waiting for your approval... (chapter II, article 1.6) or Phase 6: In process (chapter II, article 1.7):

1.5.a To move to Phase 5: Waiting for your approval... (chapter II, article 1.6), the project must have a necessary pre-production stage (project called "with pre-production"). This is the phase related to creating sketches, concept art or any relevant method to visualize what you are looking for as a final project.

1.5.b On the other hand, if you have provided the idea, the media and/or materials, and have clearly established how the project should be created, making the pre-production phase unnecessary (project called "without pre-production"), the project will go directly to phase 6: In process (chapter II, article 1.7).


1.6 Phase 5: Waiting for your approval... – You must approve the media and/or materials created in pre-production so that the project can be carried out. It is at this point that you can request any changes or add anything you want. You will receive a message notifying you of this phase.

1.7 Phase 6: In process – In this phase the project will begin to take its final form, being the part that can last the longest of the commission. From this point on, nothing can be changed until you receive the sample or the final result. You will receive a message notifying you of this phase.

1.8 Phase 7: Waiting final payment... – When your project is finished, you will receive a message that includes a sample of the final result with watermarks so you can see how it turned out. In order to receive it, you must pay the remaining cost of the final price, indicated in your commission form. You can request changes to the final result, but depending on the amount or magnitude of the changes, extra charges may apply that will be added to the remaining cost. If there are changes, the message will be resent to you with a new sample and updating the remaining cost if applicable.

1.9 Phase 8: Ready to go! – Once all the previous phases have been successfully completed, the finished project will be sent to you by email, without watermarks and with the quality and size established in the commission form. This is the final phase that ends the commission and expires the commission form.

III. GENERAL CONDITIONS

1. To start your project after receiving the commission form:

4.1 FIXED BUDGETS: You must provide 35% of the agreed final cost, and in the final phase before receiving the project, the remaining 65%, except if the total final budget does not exceed 20€, which can be paid in full in the final phase before receiving the project.

4.2 HOURLY BUDGETS: An initial payment will be applied, which will be indicated on the commission form, and the remainder will be calculated based on the time taken to complete the project, which must be paid in full in the final phase before receiving the project.

2. Urgent deadlines and delivery date:

2.1 URGENT: An urgent deadline is considered to be a delivery date of the project equal to between 5 to 7 days (inclusive) from the second day after the commission date, noted on the form itself (chapter III, article 2.4). This deadline carries an extra priority charge of 30€.

2.2 EXTREMELY URGENT: An extremely urgent deadline is considered to be a delivery date of the project equal to or less than 4 days (inclusive) from the second day after the commission date, noted on the form itself (chapter III, article 2.4). This deadline carries an extra priority charge of 50€.

2.3 PROJECT PRIORITY: An extra priority charge may be added if Diegatus Studios Commissions is, and can demonstrate it in any way it deems appropriate, working on another client's commission at the same time and you need yours completed as quickly as possible, thus prioritizing it and putting it before other clients. The extra charge will be assessed against the budget and delivery times, taking into account the time allocated to the assignment and how much or how it would displace other commissions.

2.4 As a rule, under no circumstances may a project be ordered for delivery on the same day or the one after the commission ordering date. Therefore, as regards urgent deadlines (chapter III, articles 2.2 and 2.3), these deadlines begin to run from the second day following the commission date. This rule may be exceptionally skipped depending on the case.

2.5 Projects will not be delivered during weekends (Saturday and Sunday) or on Spanish national holidays indicated in the BOE, nor regional holidays in the Community of Madrid indicated in the BOCM, nor local holidays in the municipality of Madrid marked by the Madrid City Council (check them for more information). If your preferred delivery date falls on a Saturday, Sunday or holiday, it will be moved to the next available business day.

3. I will draw the commission in my own drawing style, unless we have agreed on another style before and you have sent me some reference images.

4. Payments will only be accepted by Bizum or bank transfer. Doing promotion is not a form of payment in any sense.

5. Each commission takes time to complete, so I ask you to please be patient. You will be notified if the approximate delivery date changes for any reason.

6. This policy may change at any time. If you had a commission booked (Phase 3: ¡Ordered! (chapter II, article 1.3)) at the time this policy changes, the project will follow the previous policy, which you can find in your commission form.

IV. PROJECTS CANCELLATION AND REFUNDS

1. Once the initial payment has been made, if you decide to cancel the commission, and consequently, the project before it starts, that is, before Diegatus Studios confirms that you have read the notification sent to you about the start of the project (phase 4: Full speed ahead! (chapter II, article 1.4)) by any means, the full amount of the payments made up to that point will be refunded.

2. If you cancel the commission before 24 hours have passed since the confirmation of reading the notification of phase 4: Full steam ahead! (chapter II, article 1.5), the full amount of the payments made up to that point will be refunded. If you cancel after the first 24 hours, the refund will be up to a maximum of 75% of the payments made up to that point.

3. If your project is “with pre-production” (chapter II, article 1.5.a), once this phase has passed and you have been notified of it through the phase 5: Waiting for your approval... (chapter II, article 1.6), you have a 48-hour window from the confirmation of reading of the notification to maintain the 75% refund in case of cancellation. After 48 hours, no refund of the payments made up to that point will be made.

4. If your commission moves to phase 6: In process (chapter II, article 1.7) (applies to any project) or further, and you cancel it, no refund will be made for any payments made up to that point.

5. In case of refund, it will be made by the same method you used for payment.

V. INCLUDED WITH DELIVERY

1. All projects (except comics, 3D modeling and all in graphic design and animation) will be made with a simple color background, unless you specify otherwise.

2. All commissions will be delivered by e-mail. Physical format is not available.

3. The final project or work will be exported from the software in which it was made to standard formats with the chosen profile color. Depending on the commission type, it will always include the next formats:

3.1 Characters, assets, illustrations, comics and specifics of graphic design: .png, .jpg and .tiff.

3.2 Graphic design in general: .png, .svg and .pdf.

3.3 2D and 3D animations, and videos: If you don’t specify any format, the commission will be exported in .mp4.

3.4 3D graphics: .obj.

3.5 Obviously, if you need a specific format, you can request it without any problems, except for the original working file (see chapter V, article 5).

4. You can order an extra version in other color profile for just 10€ extra.

5. In no case will the original working file be sent, that is, those where the project has been created (.psd, .ai, .aep, .max, .ma, ... etc), except if your commission requires you to have the file (editable motion graphics, templates...), but this will add an extra charge. It is possible to export a copy in the same format as the original, but the project layers and edits will be collapsed.

VI. RESPONSIBILITY AND DATA PROTECTION

1. Diegatus Studios Commissions only provides projects in digital format.

2. Diegatus Studios reserves the right to accept or decline any commission at any of the services it offers. Sorry for any inconvenience.

3. Once the payment has been received and confirmed, and the final project has been sent, Diegatus Studios is exempt from any responsibility or costs regarding the processing and treatment of such file/s. Diegatus Studios does not accept file/s returns. For more information about cancelations and refunds, see chapter IV – Projects cancelation and refunds.

4. The data provided for these commissions will not be used for any purpose other than for the Diegatus Studios Commissions department. These will be kept in the Diegatus Studios files only as a reference during the commission process and for future consultations regarding new commissions or if you request it. You can consult how your data is treated in the privacy policy. For any questions or problems, you can write to Diego Valero, Diegatus, using the contact details that you will find in the ANNEX – Contact and Information.

VII. INTELLECTUAL PROPERTY, COPYRIGHT AND USES OF THE CREATED WORK

1. Once the project is completed and delivered, Diegatus Studios will at all times retain the intellectual property of the entire work, both from the original media and/or materials (not those provided, only those created) to the final work, which includes the right of paternity (recognition of the original author) and integrity (right not to modify the work without consent from the author), but you have the unlimited right to apply it to exploitative uses that include products, editorials and/or promotional uses. These rights DO NOT INCLUDE direct uses related to obtaining economic benefits or lucrative purposes for yourself or third parties using the work as an object, such as COMMERCIAL, RESALE, NFT and/or CRYPTOCURRENCIES or other BLOCKCHAIN ​​technology, unless we have previously agreed to it, appearing marked as such under the description section of the commission form. You can request to obtain some of these rights or the full and total intellectual property and use rights to own the work through the contact information that you will find in the ANNEX – Contact and Information.

2. If the request for use of some of the rights described in chapter VII, article 1 is approved, this does not imply that you have full and total rights over the assignment, but only those granted through the request. In order to possess full and total rights of ownership and use, it is necessary to carry out a transfer of authorship.

3. If you don't request a transfer of authorship or if it is requested and rejected, Diegatus Studios will indefinitely maintain the full and total rights of ownership and use, including, apart from those described in chapter VII, article 1 (allowing included and not included), self-promotion and redesign, in the name of its representative Diego Valero Arévalo.

4. If you request the use of some rights or the transfer of authorship, prior approval of the request, this will entail extra charge/s outside the commission budget (if they have not already been included in the commission form, have been expressly noted and itemized), which, in order to be made effective, a document that authorizes and proves the agreement between the two parties will be sent to you.

5. At the time a transfer of authorship is carried out, Diegatus Studios is free of any right or claim on the commission and the project, preventing it from being used without prior consent of the new holder of the rights thereof.

6. Regarding works that use third-party media and/or material that has not been created by you or Diegatus Studios, and which contains copyright:

6.1 If the work requires such third-party media and/or materials by design, you must check whether the use of these requires prior authorization or a specific license. Such authorizations must be submitted in writing before exploitation of the work. If no authorizations or licenses are provided and you still wish to include them in the work, there will be no problem in creating it, but discretion and caution are recommended when exploiting it. For information on exploitation responsibilities, see chapter VI, article 6.4.

6.2 If the use of third party media and/or materials is justified under the permitted legal exceptions (such as the right to quote, parody or educational use), such use must be limited, proportional and duly accredited, respecting at all times the moral and property rights of the original owners.

6.3 The use of third-party media and/or materials must be identified and Diegatus Studios must guarantee the originality and authorizations for use of the material used.

6.4 When the exploitation of said work is by you, the responsibility for it will fall directly on you, the client, and Diegatus Studios is explicitly exempt from getting involved in actions, resources or legal claims from those third parties who consider making any against the work for the use of those media and/or materials.

VIII. USES OF GENERATIVE ARTIFICIAL INTELLIGENCE

1. The use of audiovisual media and/or materials created through generative artificial intelligence (hereinafter, GAI) as final resources is restricted by Diegatus Studios, in support of the defense of the arts and the creative sector and industry. This includes any image, video, and any type of audio. Despite the contradiction, if you wish and insist that your project use media and/or materials created by GAI, you must provide said media and/or materials yourself.

2. Diegatus Studios Commissions, for its part, refuses to use any GAI tools to incorporate the generated output product(s) into the final project. This does not mean that Diegatus Studios Commissions cannot use IAG tools to assist in the commission process if necessary to generate, for example, drafts or models. In any case, the generated output would only be used as a reference or modified by humans to create a valid resource.

3. You should be aware that any part of the project that uses GAI-generated media and/or materials may be vulnerable to third-party copyright infringement due to the way these tools train their models. Furthermore, these media and/or materials may not be eligible for intellectual property registration as they do not meet the requirements of human authorship.

4. Diegatus Studios is not responsible for any results, impacts, or infringements arising from the use of GAI-generated media and/or materials in the project, provided that such use has been expressly requested or authorized by you and that the media and/or materials have been provided directly by you.
